COOL IN YOUR CODE “CODE BREAKER” SWEEPSTAKES, 2008 OFFICIAL RULES
NO PURCHASE OR PAYMENT OF ANY KIND NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES.
1. AGREEMENT TO OFFICIAL RULES. By participating in the Sweepstakes, entrants agree to be bound by these Official Rules. Failure to comply with the Official Rules will result in disqualification from the Sweepstakes and forfeiture of the Grand Prize.
2. ENTRY. The Code Breaker Sweepstakes consists of a series of weekly drawings. Each “Cool In Your Code ‘Code Breaker’ Sweepstakes 2008” (the “Sweepstakes”) begins at 12:00:00 AM Eastern Time (”ET”) on each Tuesday and ends at 11:59:59 PM (ET) on the following Monday (“Entry Period”). Enter online at coolinyourcode.com and click on the banners, buttons and/or links to access and complete the online entry form. The first weekly Sweepstakes will begin on June 24th, 2008, and will continue weekly until all prizes have been awarded, ending not earlier than October 7th, 2008. The Sponsor reserves the right to suspend or cancel future weekly Sweepstakes drawings after each weekly drawing (and before entries are received for any upcoming Sweepstakes drawing) by posting a notice at coolinyourcode.com.
3. DRAWING. A total of 1 Grand Prize Winner will be selected per Sweepstakes, in a random drawing which will occur the Friday following the close of each Sweepstakes, from among all eligible entries received. The Grand Prize Winners will be drawn by an agent of the Sponsors, whose decisions shall be final and binding. Each winner will be notified by email or telephone. If any selected winner does not respond to such notification within twenty-four (24) hours of first notification attempt, a disqualification may result and an alternate winner shall be selected from among all remaining eligible entries.
4. PRIZE. One Grand Prize winner from each weekly drawing will receive a gift certificate, or combination of gift certificates or similar voucher(s) valued at no less than $ 25.00 (alone, or, if awarded in combination, the combination shall be worth no less than $ 25.00) covering goods and services from local fine establishments such as: Bank Street Bookstore, Nokia Theater, Gutter, eShave, Union Hall, Bamboo 52, Sushi Twist, Allan & Suzi, and Comix Comedy Club. The actual prize for each week will be listed on Sponsor’s website at www.coolinyourcode.com
The actual retail value “ARV” of each weekly Grand Prize will vary between $25.00 and $200.00 (or slightly more). Visit the Cool in Your Code 2008 page in the Entertainment section of the Metro free daily newspaper and at www.coolinyourcode.com each Tuesday for details on specific prize (and ARV of that prize) to be awarded during each Sweepstake. The total projected ARV of all Grand Prizes will be: $4,000.00. Odds of winning depend on number of eligible entries received each week. Prize is not redeemable for cash. No prize or cash substitutes allowed, except at Sponsors’ sole discretion due to prize unavailability for any reason and only then for a prize of comparable value. Prize (or any portion thereof) cannot be sold or transferred to any third party.
5. ELIGIBILITY. Open only to residents of New York, New Jersey and Connecticut who are 18 years of age or older at time of entry. Void where prohibited or otherwise restricted by law. Employees and agents (and their respective family members) of any of the following organizations are ineligible to participate or win a prize: Sponsors, Administrator, and each of their respective parent companies, subsidiaries, affiliates, franchisees, licensees, dealers and their respective employees, brokers and sales associates and advertising and promotional agencies (collectively known as “Sweepstakes Entities”) are ineligible to participate or win a prize. Limit one entry per person, per Sweepstakes. Entrants may enter one time in each weekly drawing. In the case of multiple online entries in a given week, only the first entry will be considered. Use of automated devices is not valid for entry. If there is a dispute over the identity of an online entrant, entry will be deemed submitted by the Authorized Account Holder regardless of the individual that submitted the entry. “Authorized Account Holder” is defined as the natural person who is assigned an email address by an Internet access provider, online service provider or other organization (e.g. business, educational, institution, etc.) responsible for assigning email addresses for the domain associated with the submitted email address.
6. CONDITIONS. All costs and expenses not specified herein, related to participation in the Sweepstakes and each Grand Prize, including but not limited to any and all applicable taxes, including federal, state and local taxes, as well as gratuities and other expenses incurred by accepting a prize are the sole responsibility of each Grand Prize winner. All federal, state, and local laws and regulations apply. The Sponsors reserve the right to substitute a prize of comparable value if the listed Grand Prize is unavailable for any reason. Only complete entries are eligible. Once submitted, entries are the sole property of the Sponsors and will not be returned. Except where prohibited by law, each Grand Prize Winner may be required to sign (within 48 hours of receipt from Administrator) an Affidavit of Eligibility, Compliance and Release Form (”AECR Form”) (i) certifying eligibility and compliance with these rules; (ii) except where prohibited by law, authorizing the use of the Grand Prize winner’s name, address (city, state), image, photograph, voice, likeness, awarded prize information and statements made by or attributed to the Grand Prize winner relating to Sponsors, their related and affiliated companies or to this Sweepstakes (collectively “Winner’s Likeness”), for advertising, publicity and promotional purposes all without further notice or additional compensation or consideration to Grand Prize winner; and (iii) releasing and holding the Sweepstakes Entities harmless, from all liability, injuries, losses, damages or causes of action (however named or described), with respect to or arising out of entrant’s participation in the promotion or the receipt or use and/or misuse of the prize awarded herein, travel related to the receipt or use of any prize and the use of the Winner’s Likeness and waiving all claims relating to the foregoing. Failure or refusal to properly return the AECR Form within the specified period of time or if the AECR Form is returned as non-deliverable will result in disqualification and forfeiture of prize and an alternate winner will be selected by a random drawing from among all remaining eligible entries. Without limiting the foregoing, the Sweepstakes Entities shall have no liability or responsibility for any personal injuries, losses or damages of any kind resulting from participation in the Sweepstakes, acceptance, possession or use/misuse of any prize or travel related to the receipt or use of any prize or use of the Winner’s Likeness. The submission of false or misleading identification or other information by an entrant will be grounds for disqualification. Determination of information to be misleading is at the sole discretion of the Sponsors. No mechanically reproduced, illegible, or incomplete entries will be accepted. Entries generated by a robotic, programmed, script, macro or other automated means will be disqualified. Sponsors reserve the right, at their sole discretion, to cancel/suspend/modify the Sweepstakes if it becomes corrupted in any manner such that it cannot be conducted as originally planned and in such event, to select winner by random drawing from all eligible entries received prior to and/or after (if appropriate) the action taken by Sponsors. Any personally identifiable information collected during an entrant’s participation in this Sweepstakes will be collected by Sponsors and used by Sponsors, Administrator, their respective affiliates, agents and marketers solely for purposes of the proper administration and fulfillment of the Sweepstakes as described in these Official Rules.
ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND IF SUCH AN ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO SEEK REMEDIES AND DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING CRIMINAL PROSECUTION.
7. DISCLAIMER AND LIMITATION OF LIABILITY. The Sweepstakes Entities, the Concept Farm, Metro US Newspaper and each of their respective advertising and promotional agencies are not responsible for lost, interrupted or unavailable network server or other connection, miscommunications, failed or incomplete computer or telephone transmissions, or technical failure, jumbled, scrambled, or misdirected transmissions, or entries that are stolen, late, lost, illegible, incomplete, damaged, destroyed, delayed, misdirected, or other error of any kind whether human, mechanical or electronic including, without limitation, errors in the administration of the Sweepstakes such as errors in processing entries, identifying potential winners, determining the Grand Prize winner(s), or announcing or delivering the Grand Prize(s).

9. WINNER’S LIST/OFFICIAL RULES: For a copy of the Winner’s List (current through weekly drawings up until 30 days prior to any request), mail a self-addressed stamped envelope to: Cool in Your Code 2008, 43 West 24th Street, 6th Floor, New York, NY 10010. A complete list of all Grand Prize Winners will be available no later than January 31, 2009. Requests must be submitted no later than December 31, 2009. VT residents may omit return postage.
